Oleg Deripaska

President and Executive Director

Oleg Deripaska has served as a member of the Board of Directors since 2010 and as President of the Company since 2013. Mr. Deripaska has been President of RUSAL since November 2014. Mr. Deripaska has served as a member of the board of directors of RUSAL since March 2007.

From January 2009 to November 2014, Mr. Deripaska served as the Chief Executive Officer of RUSAL.

Having raised his initial capital by trading in metals, Mr. Deripaska acquired shares in the Sayanogorsk Aluminium Smelter and became its director general in 1994. In 1997, Mr. Deripaska initiated the creation of the Sibirsky Aluminium Group, which was Russia’s first vertically integrated industrial group. From 2000 to 2003, Mr. Deripaska was the General Director of Russian Aluminium, which was set up as a result of the combination of the aluminium smelters and alumina refineries of Sibirsky Aluminium and Sibneft Oil Company. From October 2003 to February 2007 he held the position of Chairman of the board of directors of Russian Aluminium.

Since 2001 Mr Deripaska has been the Chairman of the board of directors of Basic Element and since October 2002, he has been the President of Basic Element. From November 2006 to June 2010, Mr. Deripaska was the Chairman of the board of directors of OJSC Russian Machines. From June 2010 to February 2013, Mr. Deripaska was a member of the board of directors of OJSC Russian Machines.

Mr. Deripaska has been a member of the board of directors of OJSC AKME Engineering since October 2009. From July 2010 to June 2013, Mr. Deripaska was a member of the board of directors of Norilsk Nickel.

Mr. Deripaska was born in the city of Dzerzhinsk in 1968. In 1993, he graduated with honours from the Physics Department of Moscow State University, Lomonosov, and in 1996, he received a degree from Plekhanov Academy of Economics. Mr. Deripaska is vice president of the Russian Union of Industrialists and Entrepreneurs and chairman of the executive board of the Russian National Committee of the International Chamber of Commerce. He is also a member of the Competitiveness and Entrepreneurship Council, an agency of the Russian Government.

Maxim Sokov

Chief Executive Officer, Executive Director

Maxim Sokov has served as a member of the Board of Directors since 2013. Mr. Sokov joined the Company as First Deputy Chief Executive Officer in July 2013 and has been the Chief Executive Officer of the Company since April 2014. Mr. Sokov has served as a member of the board of directors of RUSAL since September 2013. Mr. Sokov is also a member of the board of directors of Norilsk Nickel and EuroSibEnergo plc (a Cypriot intermediate holding subsidiary of the Company).

Prior to joining the Group, Mr. Sokov had worked at RUSAL since 2007, as Head of the Mergers and Acquisitions Department, Head of the Department for Strategic Projects, Director of Investment Management to Norilsk Nickel, Director of Corporate Strategy and Director of Strategic Investment Management. From 2002 to 2004, Maxim Sokov worked as a lawyer for the Moscow Representative Office of Herbert Smith CIS Legal Services.

In 2000, Mr. Sokov graduated with honours from the Russian State Tax Academy under the Russian Ministry of Taxes, majoring in law. Mr. Sokov also graduated from the New York University School of Law in 2002, with a master’s degree.

Andrey Yashchenko

Chief Financial Officer of the Company

Andrey Yashchenko held this same position since July 2013. He has deep experience in En+ Group’s financial function, with executive oversight for corporate finance and treasury, budgeting and control, tax planning, audit.

Mr. Yashchenko was in charge of raising finance for En+ Group’s recent acquisitions and debt restructurings aimed at the interest rate reduction and maturity profile extension. Also, he leads the Group’s project for ERP implementation.

Prior to joining En+ Group, Mr. Yashchenko was Chief Financial Officer at Russian Platinum Group for two years.

In 2006-2010, Mr. Yashchenko was Deputy CFO and Corporate Finance Director at Basic Element (holds 21.1% in En+ Group). In 2000-2006, he was Head of Capital Markets at RUSAL.

In 1999-2000, Mr. Yashchenko held various corporate finance and strategy positions at TNK, one of the largest oil companies in Russia. In 1994-1998, he was Senior Auditor at Deloitte and then Research Analyst at MC Securities and Montes Auri.

Andrey Yashchenko graduated from the M.V. Lomonosov Moscow State University with a degree in economics with honours. Mr. Yashchenko is a CFA charterholder and member of CFA Institute.

Vyacheslav Solomin

Chief Operating Officer En+ Group

Mr. Solomin was appointed Chief Operating Officer of En+ Group in October, 2017. Previously he has served as Chief Executive Officer of Russian EuroSibEnergo since April 2010. During 2007-2016, he held various director positions within the Group, and has also served as a financial director at Russian EuroSibEnergo.

Prior to joining the Group, in 2006-2007, Mr. Solomin held various positions, including Chief Financial Officer, at Inter RAO.

Mr. Solomin graduated from the Far Eastern State University Vladivostok with a Diploma in International Economic Relations and University of Maryland University College with a Diploma in Science.

Stalbek Mishakov

Deputy CEO

Member of the Board of Directors, UC RUSAL, Norilsk Nickel

Mr. Stalbek Mishakov joined En+ Group as Deputy CEO in July 2013. Mr. Mishakov is in charge of the Group’s strategic partnership relations development as well as supervising overseas assets.

Stalbek Mishakov has been with the Group’s main shareholder Oleg Deripaska since 1999. In 2010-2013, he was Advisor to CEO of UC RUSAL. Prior to that he was CEO of Altius Development, Deputy CEO, Director (M&A), and Chairman of the Investment Committee at Basic Element (holds 20% in En+ Group). In 1997-1998, Mr. Mishakov was Head of the State Committee for Foreign Economic Relations of the Republic of Khakassia.

Stalbek Mishakov graduated from the International Law School of the Moscow State Institute of International Relations, obtained a Master of Arts degree in the University of Notre Dame (USA) and a PhD in Economics in the Russian Foreign Ministry Diplomatic Academy.

Timur Valiev

General Counsel

Timur Valiev joined En+ Group as General Counsel in July 2013. Mr. Valiev is in charge of managing court activities, claims and contracting, legal support of M&A projects and creation of joint ventures.

In 2009 – 2013 Mr. Valiev served as Director for International projects and M&A at Basic Element (holds 20% in En+ Group).

Prior to Basic Element Mr. Valiev worked at international law firm Dewey & LeBoeuf, the legal department of TNK-BP, and at a number of Russian consulting firms.

Mr. Timur Valiev graduated with honours from the Moscow State University with a degree in Law. He also undertook postgraduate studies there.

Ekaterina Nikitina

Director, Human Resources

Member of the Board of Directors, UC RUSAL, EuroSibEnergo

Ekaterina Nikitina was appointed Human Resources Director in March 2013. She is in charge of the HR management strategy of En+ Group, the implementation of staff motivation policies and the candidate pool programs within En+ Group.

Prior to joining En+ Group, Ekaterina Nikitina served as HR Director at UC Rusal (En+ Group holds 48% in UC Rusal). In 2002-2009, Ekaterina held several executive positions with Basic Element (20% shareholder in En+ Group), incl. the head of the Recruitment and HR Administration Group and HR Director.

Prior to joining Basic Element, Mrs. Nikitina worked as Organization Development and Human Resource consultant and the executive search manager in Antal International, ARTIS Consulting, Morgan Chase Group (United Kingdom) and Ernst & Young.

Ekaterina Nikitina graduated from the Frunze Simferopol State University (Romano-Germanic Philology) and has a degree from the Management Consulting School at the Academy of National Economy under the Government of the Russian Federation.

Dmitry Ponomarev

Government Relations Director

Member of the Board of Directors, EuroSibEnergo

Mr. Dmitry Ponomarev joined En+ Group as the Government Relations Director in August 2013. Mr. Ponomarev is responsible for managing relations between the Group and federal and regional authorities as well as public bodies.

For eleven years prior to joining En+ Group, Mr. Ponomarev headed several infrastructure bodies within the Russian electricity market: NP Market Council, a nonprofit partnership council for efficient trading at wholesale and retail electricity and capacity market, and Trading System Administrator JSC (ATS JSC). Mr. Ponomarev was directly involved in the development of trading and financial settlement rules for the electricity market in Russia, while ATS JSC provided for their implementation.

In 1997-2001, Mr. Ponomarev headed NP RTS Stock Exchange and was Chairman of the RTS Board, the largest stock exchange in Russia.

Earlier Dmitry Ponomarev served at several securities market associations, he also participated in drafting stock market legislation and the development of securities trading systems; served at the international law firm Moquet Borde & Associés (France).

Dmitry Ponomarev graduated from the International Law School of the Moscow State Institute of International Relations.

Evgeny Fokin

Director, International Cooperation

Mr. Evgeny Fokin is a former career diplomat. He served in the North American Department of the Soviet and later Russian Foreign Ministry in Moscow in 1985-1989 and 1995-1997. He was assigned to the USSR Consulate General in San Francisco, CA in 1989-1990 and to the Embassy of the USSR/Russia in Washington, DC in 1990-1995.

After resigning from diplomatic service in 1997, Mr. Fokin worked in public affairs and international relations in a number of Russian and international companies, including YUKOS Oil Company and Media-MOST. In 2009-2012 Mr. Fokin was Director for Public Relations of Basic Element, Russian diversified industrial group. He joined En+ Group as Director for International Cooperation in January 2012.

Mr. Fokin graduated with honors in 1985 from the Moscow State Institute of International Relations.

Alexander Sergeev

Director, project "Orient"

Alexander Sergeev was appointed as Director of project "Orient" in 2010. He is responsible for relationships with Group's Asian partners.

Prior to joining En+ Group in November 2009, Alexander Sergeev was a Board member and head of the Sales business unit of OAO RusHydro in the period February 2005 — July 2009. In 2002–2004, Mr. Sergeev was one of the RAO UES of Russia officers responsible for drafting the competitive electricity market regulations; Mr. Sergeev’s experience prior to his employment with RAO UES includes a position at OAO SverdlovEnergo.

Alexander Sergeev is a Board member of Krasnoyarsk Kray Development Corporation, South Yakutia Development Corporation and Transbaikalia Development Corporation.

Alexander Sergeev graduated with honours from the Economics and Management Department (Fuels and Energy) of the Urals State Technical University, and took a postgraduate course there.

Elena Vishnyakova

Director, Public Relations

Member of the Board of the Directors of Irkutskenergo

Elena Vishnyakova joined the Group as the Director for Public Relations in December 2015. Previously she held various posts in the Department for public relations at RusHydro. Between 2006 and 2008 she worked in the PR and regional communications’ department of OGK-1 power generating company. From 2001 to 2003 Elena headed the public relations at JSC Samaraneftegaz, a YUKOS subsidiary.

Elena Vishnyakova graduated with honours the Samara State Teachers University.

Igor Lerner

Chief Auditor

Chief Ethics Officer

Igor Lerner is Chief Auditor of En + Group. He joined the Group in 2008 as Director of Audit at one of the En+ subsidiaries. Since 2011, Igor Lerner has been in charge of the entire Group’s internal audit, control and revision, and risk management functions; he was appointed the Group's Ethics Officer in 2013.

Previously, Igor Lerner served in the external and internal audit divisions of PricewaterhouseCoopers and Mechel, and the finance and taxes department of the oilfield service division of YUKOS.

Igor Lerner received his Master’s degree (Management in Energy Industry) and then his PhD (Economics) from the State University of Management.
